CODE OF CONDUCT AND CONFIDENTIALITY

This page outlines the expectations, responsibilities, and confidentiality obligations of all members of Société Privée. By agreeing to these terms and conditions, you commit to maintaining a professional, respectful, and supportive environment that fosters business development and peer support while ensuring the confidentiality of shared information.

1. Agreement to Code of Conduct and Integrity

• I hereby agree to abide by the Code of Conduct and Integrity Agreement of Société Privée.
• I understand that my actions and behavior reflect on the entire community and will strive to uphold the highest standards of integrity and professionalism.

2. Maintaining a Safe and Focused Space

• I will contribute to keeping our space safe by focusing on business development.
• I agree to not solicit other members and respect others' time and boundaries.
• I will refrain from engaging in conversations surrounding polarizing topics in today's society within the Société Privée environment to ensure a harmonious and inclusive atmosphere.

3. Commitment to Business Growth

• I am committed to growing my business and will actively engage in opportunities for development and improvement.
• I will participate in activities and discussions that enhance my business knowledge and skills.

4. Supporting Peers

• I will support my peers in their business endeavors.
• I will offer constructive feedback, encouragement, and assistance where possible.
• I understand that a thriving community is built on mutual support and collaboration.

5. Confidentiality Obligations

• All information shared by SP Members must be held in strict confidence.
• Confidentiality is: 
• Non-Selective: Members may not share anything discussed in Société Privée with anyone outside of Société Privée.
• Perpetual: This agreement remains in effect even after a member leaves Société Privée.
• Mutual: All members must agree to respect the confidentiality of information shared within Société Privée. What is said by speakers and members at events is confidential and only for those present.

6. Limitations

• Legality: Confidentiality does not override legal obligations. This contract is not designed to shield illegal behavior or violations of any laws.
• Protection Clause: The safety and well-being of SP members is our primary concern. This confidentiality agreement does not prevent action to prevent imminent danger or serious harm.
• Acceptable Disclosure: Members may share their own information. It is always better to ask permission rather than act on assumption when sharing another member's information.

7. Confidential Information

• I understand that I will come into contact with Confidential Information during my time as a member of Société Privée. I hereby undertake to keep in strict confidence any Confidential Information of Société Privée and fellow members indefinitely.
• "Confidential Information" includes, but is not limited to, personal information, proprietary information, technical data, trade secrets, research, product plans, customer lists, marketing materials, processes, financial data, and other business information.

8. Obligations

• I will keep all Société Privée and SP Members' Confidential Information in strict confidence, except for information requiring mandatory reporting by law.
• I agree to never remove any confidential material from meetings, masterminds, or digital/virtual spaces unless authorized.

9. Breach and Remedies

• I recognize that Société Privée may be irreparably damaged by any breach of this agreement and is entitled to seek legal remedies, including injunctions, specific performance, or other equitable remedies, along with attorneys’ fees and costs. This agreement is governed by the laws of the State of California.

By checking the box “I agree to terms and conditions” when signing up for membership, I acknowledge that I have read, understood, and agree to adhere to the Code of Conduct and Confidentiality Agreement of Société Privée. I commit to contributing positively to the community, upholding the values outlined in this contract, and maintaining the confidentiality of shared information.
